1. Introduction
Welcome to FreelanceHub ("Platform" or "Service"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and FreelanceHub ("FreelanceHub", "we", or "our").
Important: IMPORTANT: By using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.
We recommend printing or saving a copy of these Terms for your records.
2. Platform Nature and Disclaimer
2.1 Platform as Intermediary
FreelanceHub is an intermediary platform, NOT an employer, agent, contractor, or partner. We provide a technology platform connecting clients with freelancers, enabling them to establish contractual relationships.
We are NOT a party to any contract between you and any other User. When you or any other User establishes a contractual relationship using our platform, that contract is solely between you and that other User. We assume NO liability whatsoever for:
- Any actions or omissions of any User
- Any work or services provided, performed, or failed to be performed by any User
- Any transactions, agreements, or arrangements between Users
- Any disputes arising from or related to contracts between Users
- Any failure by any User to fulfill their contractual obligations
- Work quality, late delivery, or any other work-related issues
- Any payment or receipt of funds between Users
- Any claims made by or against any other User
- Any communication, misunderstanding, or expectation gaps between Users
- Any financial status, payment ability, or credit of any User
2.2 Independent Contractor Relationship
The relationship between you and a Freelancer is an independent contractor relationship, NOT an employer-employee relationship. This means:
- Freelancer is not employed by FreelanceHub or any Client
- Freelancer has autonomy over their work methods, time, and location
- Freelancer is responsible for their own taxes and MPF (if applicable)
- Freelancer has the right to work for multiple clients simultaneously
- FreelanceHub is NOT responsible for any actions, negligence, errors, or substandard work of Freelancers
- FreelanceHub is NOT responsible for any actions, negligence, or errors of Clients
2.3 Our Complete Exclusion of Liability
To the maximum extent permitted by law, FreelanceHub and its officers, directors, employees, agents, and contractors expressly exclude all liability whatsoever for any direct, indirect, incidental, special, or consequential losses:
- Quality, completeness, accuracy, timeliness, or suitability of any User's work
- Professional ability, qualifications, experience, representations, or authenticity of skills of any User
- Performance, termination, or breach of any agreement between Users
- Payment obligations or fund transfers
- Intellectual property infringement or validity
- Resolution, adjudication, or outcome of any dispute
- Any losses arising from use or inability to use our services
- Any loss of profits, revenue, data, business opportunities, or goodwill
- Any claims by third parties
- Technical failures, internet interruptions, data loss, service interruptions, or computer viruses
- Actions or omissions of any third-party service provider
- Output, results, accuracy, or suitability of any AI functionality
- Any content moderation decisions, deletions, or blocking
- Verification or confirmation of any User's identity
- Any recommendations, matching, or matching suggestions
2.4 Ultimate Limitation of Liability
Even if we have been informed of the possibility of any loss or damage, and even if any remedy fails its essential purpose, the limitations and exclusions of liability set forth in these Terms shall apply.
Nothing in these Terms attempts to exclude or limit our liability for: (a) liability that cannot be excluded under applicable law; (b) death or personal injury caused by our negligence or fraudulent acts.
3. Description of Services
FreelanceHub provides the following services:
- Job posting and browsing platform
- User profiles and matching system
- Project management tools (workspace, chat, task management, etc.)
- Payment processing services and Escrow托管
- AI assistant features
- Other related technical services
We do NOT guarantee: that any specific work will be completed, that any User will obtain employment or compensation, or that any specific results will be achieved. We only provide a technology platform and make no guarantees regarding the outcome of any transaction.
4. Escrow托管 Services and Fund Protection
4.1 Escrow Service Description
We use Stripe, a leading international payment processing platform, as our payment processing service provider. Stripe Connect provides the security and compliance infrastructure for our payment process.
When you use our Escrow托管 service:
- Your funds are held by Stripe on our behalf as temporary custodian
- Funds are protected by Stripe's security and compliance measures
- Funds are not mixed with our operating capital
- Funds are only released when you explicitly approve or automatic release conditions are met
4.2 Escrow Fund Protection
Our Escrow托管 service provides fund protection for both parties:
- For Clients: Funds are securely held until you verify deliverables and approve payment
- For Freelancers: Once you submit deliverables and client approves or auto-release period expires, payment is guaranteed
- For both: Funds are securely processed through Stripe, reducing fraud and unauthorized transaction risks
4.3 Escrow Fund Release
When you approve Escrow fund release:
- Funds will be transferred to Freelancer's account through Stripe
- Transfers are irreversible once completed
- Fund release indicates your acceptance of work but does not constitute endorsement or warranty of work quality
- You are responsible for evaluating whether deliverables meet your requirements before approving
4.4 Our Responsibility for Escrow
As temporary custodian of funds, we are NOT responsible for:
- Quality, completeness, or suitability of any deliverables
- Any disputes between Client and Freelancer regarding work scope or standards
- Freelancer's tax obligations
- Any other actions or negligence of Client or Freelancer
- Any technical issues beyond Stripe system normal operation
If there is a dispute, we will provide mediation according to our dispute resolution procedures, but the final allocation of funds will be determined by the dispute resolution process or as agreed by both parties in writing.
5. Account Terms
5.1 Account Registration
By using our services, you agree to:
- Provide accurate, true, and complete personal information
- Be at least 18 years old
- Be responsible for account security, properly safeguarding passwords and login credentials
- Not share accounts with others
- Be responsible for all activities under your account
- Promptly update information to keep it accurate
- Not register multiple accounts (unless explicitly permitted by us)
5.2 Account Termination
You may terminate your account by contacting us at any time. We may terminate your account under the following circumstances:
- Violation of any provision of these Terms
- Fraud, abuse, or illegal activities
- Harassment, discrimination, or harming others
- Intellectual property infringement
- Circumventing platform payments
- Refusing to cooperate with dispute investigations
- Failure to pay any amounts due
- Any other reasonable cause
After account termination, you may not be able to access your data, history, or incomplete projects. We are not responsible for any losses resulting therefrom.
5.3 User Representations and Warranties
By using our services, you represent and warrant that:
- You are at least 18 years old and have full civil capacity
- You have the right to enter into these Terms and are not restricted by any applicable law or contract
- All information you provide is true, accurate, and complete
- You are not prohibited by any court or government agency from using our services
- You are not on any sanctions list (UN, Hong Kong, US, EU, etc.)
- Your funds come from legitimate sources and do not involve money laundering or terrorist financing
- You will comply with all applicable Hong Kong laws
6. Freelancer Terms
6.1 Eligibility and Responsibilities
As a Freelancer, you:
- Honestly describe your skills, experience, and professional abilities
- Provide authentic portfolio samples and past project information
- Complete accepted work projects on time
- Maintain professional communication attitude and courtesy
- Comply with project agreements, deadlines, and milestones
- Be responsible for work quality, ensuring deliverables meet agreed standards
- Are solely responsible for filing taxes and MPF (if applicable)
- Bear full responsibility for service quality to Clients
6.2 Tax Responsibilities
Important: IMPORTANT: FreelanceHub does not withhold, deduct, or file any taxes on your behalf. As an independent contractor, you:
- Are solely responsible for determining your tax obligations
- Are responsible for declaring and paying any applicable taxes to the Inland Revenue Department
- Ensure your compensation complies with Hong Kong tax regulations
- Bear full responsibility for any tax-related matters
We recommend consulting a professional tax advisor to understand your specific obligations.
6.3 Professional Standards
We expect all Freelancers to maintain high professional standards. Including but not limited to: timely responses, honest communication, respect for intellectual property, and timely delivery of quality work.
7. Client Terms
7.1 Eligibility and Responsibilities
As a Client, you:
- Honestly describe project requirements, budget, and expectations
- Provide necessary project materials, elements, and timely feedback
- Pay agreed compensation on time
- Respect Freelancer's professional opinions and time
- Not post false, deceptive, or illegal work
- Not privately hire Freelancers circumventing the platform
- Bear full responsibility for hiring or collaborating with Freelancers
7.2 Job Posting
By posting a job, you agree to be responsible for project requirements. We recommend detailing project scope, delivery standards, and timelines to reduce disputes.
We are NOT responsible for the accuracy or completeness of project definitions. If you fail to clearly state your requirements, any resulting disputes shall be resolved between you and the Freelancer.
7.3 Payment Responsibilities
Important: IMPORTANT: As a Client, you bear full responsibility for:
- Ensuring you have sufficient funds to pay the agreed amount
- Timely acceptance of deliverables and approval of fund release
- Participating in our dispute resolution process if disputes arise
- Legal consequences of any non-payment or disputed payments
- Any direct arrangements with Freelancers
8. Platform Fees
8.1 Service Fees
The platform charges the following fees:
- Platform Service Fee: 8% (Plus) or 5% (Pro)
- 托管 Fee: A small processing fee may apply depending on payment method
- Membership Plans: Plus (HK/month, limited half-price), Pro (HK/month, limited half-price)
8.2 Payment Methods
We support payment methods such as Stripe Connect, PayMe, FPS (Faster Payment System), etc. All payments are processed through the platform to ensure fund safety and dispute resolution mechanisms.
8.3 Off-Platform Payments
All payments between Clients and Freelancers must go through the platform using our secure escrow system. Off-platform payments are not supported.
- Secure Escrow: Funds are held safely in escrow until work is completed and approved
- Dispute Resolution: The platform can help mediate disputes for escrow-protected payments
- Platform Protection: Both parties are protected by our payment system
By using FreelanceHub, you agree to conduct all payments through our platform.
- Confirm that all payments will be made through the platform
- Confirm that you understand the escrow protection system
- Confirm that you agree to our dispute resolution process
ESCROW: All payments are protected by our escrow system for your safety.
9. Dispute Resolution
9.1 Platform Mediation
If a dispute occurs:
- First, both parties should try to resolve through friendly negotiation
- If negotiation fails, either party may request platform mediation
- The platform may provide mediation suggestions based on evidence
- Mediation suggestions do not constitute arbitration awards and are not binding on either party
9.2 Fund Handling
During disputes:
- Disputed funds will be held in Escrow
- Funds will be allocated according to dispute resolution results or written agreement between both parties
- Undisputed funds will continue to be processed normally
9.3 Arbitration
If mediation is ineffective, disputes shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for resolution through arbitration.
Arbitration shall be conducted in accordance with the arbitration rules of HKIAC in effect at the time. The seat of arbitration is Hong Kong. The arbitration proceedings shall be conducted in Chinese (Traditional) and English.
10. Intellectual Property
10.1 Content Before Project Delivery
Communication content, suggestions, and ideas before project commencement belong to the original creator. Others shall not use or reproduce without authorization.
10.2 Deliverables After Project Completion
After project completion and full payment, work deliverables belong to the Client. Freelancers have the right to retain display rights (for portfolio display, but shall not disclose confidential information).
10.3 Intellectual Property Disputes
We are NOT responsible for any intellectual property disputes. If infringement allegations occur:
- Clients are responsible for ensuring their requirements do not infringe third-party rights
- Freelancers are responsible for ensuring their deliverables do not infringe third-party rights
- Any intellectual property disputes shall be resolved between the Users involved
- We have the right to delete or block allegedly infringing content
10.4 Platform Intellectual Property
FreelanceHub's name, logo, design, software, and all intellectual property belong to us. Users shall not use, copy, or modify without authorization.
11. AI Features
11.1 AI Service Description
We use multiple artificial intelligence service providers to provide AI features. These AI features are auxiliary tools and do not constitute professional advice or any form of guarantee.
AI features include but are not limited to:
- Smart Matching: Analyzes skills and project requirements, recommends matches (for reference only, no guarantee of accuracy)
- Project Health Score: Evaluates project status and risks (does not constitute risk management advice)
- Risk Detection: Identifies potential issues and reminders (does not constitute legal or financial advice)
- Conversation Summary: Automatically summarizes important information (no guarantee of completeness or accuracy)
- Content Analysis: Analyzes project descriptions and deliverables (does not constitute quality certification)
11.2 AI Service Disclaimer (Important)
AI features are provided "AS IS" and do not constitute any form of warranty, commitment, or professional advice.
- AI analysis results may contain errors, inaccuracies, or incomplete information
- AI suggestions may not be suitable for your specific situation
- AI-generated content should not be regarded as professional, legal, financial, or technical advice
- You should NOT solely rely on AI features to make any decisions
- All AI outputs should be independently verified before use
- We are NOT responsible for any direct or indirect losses arising from use, reliance on, or inability to use AI features
11.3 AI Output Usage Responsibility
You bear full responsibility for using AI outputs:
- Verifying the accuracy and suitability of AI outputs is your responsibility
- You bear any consequences arising from using AI outputs
- AI outputs shall not be used as the sole basis for professional advice
- You are solely responsible for any business decisions based on AI outputs
11.4 AI Data Usage
To provide AI features, we and/or our AI service providers may analyze project content, communications, and user behavior data. You expressly agree to our use of this data to provide AI services. However, please note: We are not responsible for the accuracy, completeness, or results of AI processing.
12. Prohibited Activities
The following activities are strictly prohibited:
- Posting false, misleading, or deceptive projects or information
- Conducting any transactions or payments circumventing the platform
- Uploading malware, viruses, or any harmful code
- Infringing on others' intellectual property, privacy, or other rights
- Harassment, discrimination, or threatening others
- Money laundering, terrorist financing, or other illegal activities
- Impersonating others or providing false identity
- Interfering with platform operations or security
- Unauthorized attempts to access other user accounts
- Using automated tools to scrape platform data
- Using bots or other automated methods to access the platform
- Reverse engineering, decompiling, or cracking our software
- Circumventing our content protection measures
- Abusing AI features or attempting to manipulate AI systems
13. Privacy and Data Protection
We value your privacy. For information on how we collect, use, and protect your personal data, please refer to our Privacy Policy.
14. Marketing Communications
If you choose to receive our marketing communications, you expressly agree to receive such messages in accordance with the Unsolicited Electronic Messages Ordinance (Cap. 593).
Marketing communications may include:
- New feature updates
- Promotions and offers
- Industry news and tips
- Event invitations
You may opt out of marketing communications at any time:
- Click the "unsubscribe" link in any marketing email
- Turn off marketing notifications in account settings
- Contact us to request removal
15. Service Availability
We are committed to maintaining stable service operation but cannot guarantee 100% availability.
We may suspend services for the following reasons:
- Planned maintenance upgrades
- Emergency maintenance or security updates
- Situations beyond our control (natural disasters, network issues, etc.)
We will make reasonable efforts to provide advance notice of planned maintenance, but make no guarantees. We are NOT responsible for any losses arising from service interruptions.
16. Force Majeure
We shall not be liable for our failure to perform any obligation under these Terms due to:
- Natural disasters, fire, flood, explosion, war, terrorist attacks
- Government actions, sanctions, import/export restrictions
- Epidemics, outbreaks, quarantine measures
- Internet or power outages, server failures, hacker attacks
- Third-party service provider failures
- Other situations beyond our reasonable control
17. Termination of Service
We may terminate or suspend your account or access rights under the following circumstances:
- Violation of any provision of these Terms
- Fraud, abuse, or illegal activities
- Harassment or harming others
- Intellectual property infringement
- Circumventing platform payments
- Refusing to cooperate with dispute investigations
- Any other reasonable cause
18. Limitation of Liability (Important)
PLEASE READ THIS SECTION CAREFULLY: To the maximum extent permitted by law, FreelanceHub expressly excludes all liability to you or any other person.
18.1 Fully Excluded Liability
We assume NO liability whatsoever for any and all of the following:
- Any direct, indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, business opportunities, or goodwill
- Any personal injury or property damage
- Any claims, lawsuits, or legal proceedings
- Any fees or expenses, including attorney fees
18.2 Specific Exclusions
Without limiting the generality of the above, we expressly exclude liability for:
- User Behavior: We are not responsible for any actions, omissions, negligence, errors, or substandard conduct of any user
- Work Quality: We are not responsible for the quality, accuracy, or timeliness of work or services provided by freelancers
- Payment Obligations: We are not responsible for any payment obligations or fund transfers by clients or freelancers
- Dispute Resolution: Our mediation service does not constitute endorsement or commitment to dispute outcomes, and we are not responsible for mediation results
- AI Features: We are not responsible for the output, accuracy, completeness, or suitability of any AI features
- Third-Party Services: We are not responsible for the actions, negligence, or service interruptions of any third-party service providers
- Technical Issues: We are not responsible for any technical failures, internet interruptions, service interruptions, or data loss
- Recommendations and Matching: Our smart matching and recommendation systems are for reference only, and we are not responsible for matching results
18.3 Liability Cap
Even if any liability exists, our total liability cap is the amount you have paid us within 12 months before and after the dispute occurs.
This cap covers all claims, regardless of their nature or how they are brought.
18.4 Your Responsibilities
You agree:
- To bear all risks of using our services
- To be solely responsible for verifying the qualifications and abilities of any user on our platform
- To be solely responsible for ensuring all transactions and arrangements with other users
- To be solely responsible for decisions and consequences of using AI feature outputs
- Not to pursue any liability against us beyond the fees you have paid
19. Indemnification
You agree to indemnify, defend, and hold FreelanceHub, our officers, directors, employees, agents, and contractors harmless from any and all claims, losses, liabilities, damages, fees, and expenses (including attorney fees) arising from:
- Your use or abuse of our services
- Your breach of these Terms
- Your infringement of any third-party rights
- Your disputes with other users
- Your submission of false or misleading information
- Your engagement in any illegal activities
20. Class Action Waiver
Important: IMPORTANT: You expressly agree:
- To waive the right to bring any claims against us in a class action, consolidated action, or representative action
- That any dispute between you and us shall be resolved on an individual basis
- That you agree not to participate in any class or consolidated action as a class or representative member
- That if you have brought any claims as a class or representative, you shall be deemed to have breached these Terms
21. Governing Law and Arbitration
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
Exclusive Jurisdiction: Both parties agree that the courts of the Hong Kong Special Administrative Region shall have exclusive jurisdiction over: (a) applications for interim injunctive relief or similar emergency remedies; (b) enforcement of arbitration awards; (c) any legal proceedings unrelated to arbitration proceedings.
Arbitration: Any other disputes shall be arbitrated in accordance with the arbitration rules of the Hong Kong International Arbitration Centre (HKIAC) then in effect (2024 Edition). The seat of arbitration is Hong Kong. The arbitration proceedings shall be conducted in Chinese (Traditional) and English. The arbitration award is final and binding on both parties.
22. Terms Modification
We reserve the right to modify these Terms at any time:
- Major changes will be notified by email 30 days in advance
- General changes will be announced on the platform
- Continued use of services indicates acceptance of new Terms
- If you do not accept new Terms, you may terminate your account
23. Severability
If any provision of these Terms is determined to be invalid or unenforceable, such provision shall be enforced to the maximum extent permitted, and the remaining provisions shall continue in full force and effect.
24. Entire Agreement
These Terms, our Privacy Policy, and Cookie Policy constitute the entire agreement between you and FreelanceHub, superseding all prior related agreements, understandings, or representations.
